Chapter 6 - The Unborn Beneficiary

The phrase sounded insane.
Unborn beneficiary.
Adrian read the draft twice.
The petition itself was not yet filed, but its purpose was clear. If Claire were declared medically or psychologically incapable around the time of birth, Evelyn would ask a court to appoint a temporary guardian over the baby's financial interests.
That guardian would then control the trust until the dispute was resolved.
Noah looked sick. "This is not estate planning. This is a takeover."
Adrian called the family attorney, Ruth Calder, at one in the morning.
She answered with the voice of someone who had been awake for hours.
"I was expecting you."
"Why?"
"Because your mother called me yesterday."
Adrian went still.
"And you didn't call me?"
"She said Claire was having a breakdown and you had authorized contingency planning. I refused to draft anything without speaking to you. Then she told me she had retained separate counsel."
"Did she mention guardianship?"
"Yes."
Adrian looked toward the stairs of his silent house.
"Why would she think she could get it?"
Ruth paused.
"Because your father's trust is unusual."
"I know what it says."
"Not all of it."
He frowned.
"The original trust contains a control provision that was never triggered because you had no children when your father died. Upon the birth of your first living child, a special block of voting shares moves into a descendant trust. During the child's minority, the child's legal guardian has influence over those shares."
"Claire and I are the parents."
"Yes. But if one parent is dead or incapacitated and the other is declared unable to serve, a temporary guardian can step in."
Adrian felt something terrible settle into place.
"How many votes?"
"Enough to decide a board deadlock."
Noah swore under his breath.
Vale Meridian's board was split six to six on the Singapore acquisition. Adrian had forced the deal through using a temporary proxy arrangement.
His mother hated the acquisition. She believed it diluted the old Vale control.
"This isn't only about the baby," Adrian said.
"No," Ruth replied. "It may be about the company."
Adrian ended the call and headed back to the hospital.
At dawn, he sat beside Claire's bed and told her everything.
She listened without interrupting.
When he finished, she looked toward the window.
"There is one more thing."
Adrian's chest tightened. "What?"
"Evelyn has been giving me pills."
He stared at her.
Claire's voice dropped.
"She told me they were the supplements Dr. Patel prescribed."
"Were they?"
